End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you and Iowa Fence Supply, a division of Blue Oak Holdings Inc. ("Iowa Fence Supply"), governing your use of the Iowa Fence Supply Contractor Portal software ("Portal"). By accessing the Portal, you accept this EULA.

1. LICENSE GRANT

Iowa Fence Supply grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for the purpose of ordering fencing materials and related products for your licensed contracting business. This license does not include the right to sublicense, copy, modify, or create derivative works of the Portal.

2. LICENSE RESTRICTIONS

You may not:

Copy, reproduce, or distribute any portion of the Portal or its underlying software

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Portal

Modify, adapt, translate, or create derivative works based on the Portal

Rent, lease, loan, sell, or sublicense access to the Portal to any third party

Remove or alter any proprietary notices, labels, or marks on the Portal

Use the Portal to develop a competing product or service

Use automated tools to access, scrape, or extract data from the Portal

3. ONE LICENSE PER COMPANY

This license is granted to one company per approved account. The Portal login may be used by employees and authorized representatives of the licensed company only. The license is non-transferable. If your business is sold, merged, or otherwise transferred, the new entity must apply for its own Portal access.

4. INTELLECTUAL PROPERTY

The Portal and all of its components — including but not limited to the software, pricing engine, user interface, design, product data, and contractor analytics — are and remain the exclusive property of Blue Oak Holdings Inc. This EULA does not transfer any ownership interest to you. All rights not expressly granted are reserved by Blue Oak Holdings Inc.

5. UPDATES AND CHANGES

Iowa Fence Supply may update, modify, or discontinue any feature of the Portal at any time without notice. Iowa Fence Supply may also push updates to the Portal automatically. Continued use of the Portal after an update constitutes acceptance of the updated Portal.

6. TERMINATION

This license is effective until terminated. Iowa Fence Supply may terminate this license immediately and without notice if you breach any provision of this EULA or the Terms of Use. Upon termination, you must immediately cease all use of the Portal. Termination does not relieve you of any payment obligations for orders placed prior to termination.

7. NO WARRANTY

THE PORTAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IOWA FENCE SUPPLY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IOWA FENCE SUPPLY DOES NOT WARRANT THAT THE PORTAL WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IOWA FENCE SUPPLY OR BLUE OAK HOLDINGS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RELATED TO YOUR USE OF OR INABILITY TO USE THE PORTAL. OUR TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO IOWA FENCE SUPPLY IN THE THIRTY DAYS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

9. GOVERNING LAW

This EULA is governed by the laws of the State of Iowa without regard to its conflict of law provisions. Any dispute arising under this EULA shall be resolved exclusively in the state or federal courts located in Polk County, Iowa. You consent to personal jurisdiction in those courts.

10. ENTIRE AGREEMENT

This EULA, together with the Terms of Use, Privacy Policy, and Terms of Sale, constitutes the entire agreement between you and Iowa Fence Supply regarding the Portal and supersedes all prior agreements and understandings relating to the subject matter herein.
