Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Iowa Fence Supply Contractor Portal ("Portal"), operated by Iowa Fence Supply, a division of Blue Oak Holdings Inc. ("Iowa Fence Supply," "we," "us," or "our"). By accessing or using the Portal, you agree to be bound by these Terms on behalf of yourself and the company you represent ("Contractor," "you," or "your").

1. PORTAL ACCESS

1.1 Approved Access Only

The Portal is not a public platform. Access is granted exclusively to fence contractors who have been reviewed and approved by Iowa Fence Supply. Approval is at our sole discretion and may be revoked at any time.

1.2 One Account Per Company

Each approved company receives a single login credential. You are responsible for all activity that occurs under your account. Do not share your credentials outside your organization. Iowa Fence Supply is not responsible for unauthorized access resulting from credential sharing.

1.3 Account Security

You are responsible for maintaining the confidentiality of your password. If you believe your account has been compromised, notify us immediately at info@iowafencesupply.com. You agree to notify us promptly of any unauthorized use of your account.

1.4 Accurate Information

You agree to provide accurate, current, and complete information when using the Portal, including on all orders. Iowa Fence Supply relies on the information you provide to process and fulfill orders.

2. ACCEPTABLE USE

You agree to use the Portal only for its intended purpose: ordering fencing materials and related products for your licensed contracting business. You agree not to:

Share, sell, or transfer your account credentials to any third party outside your organization

Use automated tools, bots, or scripts to access, scrape, or extract pricing data or product information

Attempt to reverse engineer, copy, or replicate the Portal or its pricing engine

Use the Portal for any unlawful purpose or in violation of any applicable law or regulation

Interfere with or disrupt the Portal or servers connected to the Portal

Attempt to gain unauthorized access to any portion of the Portal or its backend systems

3. ORDERS AND PRICING

All orders placed through the Portal are subject to the Terms of Sale. Pricing displayed in the Portal is specific to your contractor tier and may not be shared with end customers or third parties. Pricing is subject to change without notice. Iowa Fence Supply reserves the right to reject any order at its sole discretion.

4. INTELLECTUAL PROPERTY

The Portal, including its design, content, pricing algorithms, product data, and underlying software, is the exclusive property of Blue Oak Holdings Inc. and its licensors. No portion of the Portal may be copied, reproduced, modified, or distributed without prior written consent from Iowa Fence Supply.

5. TERMINATION

Iowa Fence Supply may suspend or terminate your Portal access at any time, with or without notice, for any reason including but not limited to violation of these Terms, non-payment, or cessation of your business relationship with Iowa Fence Supply. Upon termination, your right to access the Portal ceases immediately.

6. DISCLAIMERS

THE PORTAL IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IOWA FENCE SUPPLY DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. THE MATERIAL CALCULATOR IS AN ESTIMATION TOOL ONLY — IOWA FENCE SUPPLY IS NOT RESPONSIBLE FOR SHORTFALLS OR OVERAGES BASED ON CALCULATOR OUTPUT.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IOWA FENCE SUPPLY AND BLUE OAK HOLDINGS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PORTAL SHALL NOT EXCEED THE AMOUNT YOU PAID TO IOWA FENCE SUPPLY IN THE THIRTY (30) DAYS PRECEDING THE CLAIM.

8. GOVERNING LAW

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Polk County, Iowa. You consent to personal jurisdiction in those courts.

9. CHANGES TO THESE TERMS

Iowa Fence Supply reserves the right to update these Terms at any time. Continued use of the Portal after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via the Portal or SMS.
